Terms of Service

These terms govern your use of dklabs.co.uk (including the shop and blog), DK Labs accounts, and the Nucleus hosting service. They're written in plain English on purpose - if anything is unclear, ask before you rely on it: contact@davidkel.ly.

1. Who we are

DK Labs Ltd, a company registered in England and Wales (company number 17232826), based in York, UK. "We", "us" and "DK Labs" mean DK Labs Ltd; "you" means the person or organisation using our services. Bespoke development and consultancy work is governed by the written proposal or agreement for that engagement, not these terms - though the site and account sections here still apply while you use them.

2. Your account

One DK Labs account covers the shop, plugin licences and downloads, blog comments, and Nucleus. You're responsible for keeping your credentials secure and for what happens under your account. Keep your email address current - it's how we reach you about purchases, your federations, and changes to these terms. We may suspend or close accounts used in breach of these terms (see section 9).

3. The plugin shop

Our Moodle plugins are distributed under the GNU GPL v3, as Moodle plugins must be. What you buy from the shop is not the code itself but alicence key and the services attached to it: access to official downloads and updates for the licence term, activation of the plugin's licensed features on the number of Moodle sites your tier allows, and support from us.

Licence keys belong to the purchasing account. Activation limits are per distinct Moodle site as described on the product page. Don't resell, share, or publish keys - we may revoke keys that are. Lifetime licences mean the lifetime of the product's availability from us, with updates for as long as we maintain the plugin.

Refunds

If you're not happy with a purchase, we'll refund it within 14 days of purchase provided the licence key has not been activated on any site. Email contact@davidkel.ly from the purchasing account. By completing a purchase you consent to immediate access to the digital content; once a key is activated, the statutory cooling-off right for digital content no longer applies - though if something's genuinely broken and we can't fix it, we'll put it right or refund you regardless. Nothing here limits your statutory rights, including the right to digital content that is as described, fit for purpose, and of satisfactory quality.

4. Nucleus

Nucleus is our managed multi-tenant Moodle hosting platform: a hub plus isolated spoke sites, provisioned on UK infrastructure (London), billed monthly by federation and spoke through Stripe.

• Your content is yours. Course material, user accounts and files on your federation belong to you (or your users). We host and process them only to run the service - see the privacy policy for the controller/processor split and our subprocessors.
• Backups. Daily backups with retention according to your tier (30 days on Standard, 90 on Dedicated), with monitored restores. Backups exist for disaster recovery; we're not an archival service.
• Service levels. We run Nucleus with genuine care but sell it without a formal uptime guarantee on the Standard tier; we'll always tell you honestly what happened when something breaks. Planned maintenance is announced in advance where practical.
• Billing and cancellation. Subscriptions renew monthly until cancelled. You can cancel from the portal at any time - the federation runs to the end of the paid period. Non-payment may lead to suspension and, after reasonable notice, termination.
• After termination. Ask us for an export before or shortly after your subscription ends. We delete federation data within 30 days of termination; backup copies age out on the normal retention schedule.
• Self-host. The self-host edition is sold as a perpetual licence with an annual support subscription, under a separate licence agreement provided at purchase.

5. Blog comments

Comments require a DK Labs account and appear under the name on your account. Your words remain yours; by posting you give us a non-exclusive licence to display them on the site. Keep it lawful and civil - no spam, no abuse, no posting other people's private information. We may edit nothing but remove anything, and repeat misuse may lead to account suspension. 6. Demo and showcase sites

We run public demonstration sites (for example showcase.dklabs.co.uk) with shared demo logins. They exist so you can evaluate our work: don't enter real personal data on them, and expect content to be reset without notice. Demo sites are provided as-is, for evaluation only.

7. Intellectual property

The site's content, design, and branding are ours (or licensed to us) - don't reuse them without permission. Plugin source code is licensed under the GPL as described in section 3. Moodle is a trademark of Moodle Pty Ltd; DK Labs is not affiliated with or endorsed by Moodle Pty Ltd.

8. Acceptable use

Across everything we run: no unlawful use, no infringing or malicious content, no interference with the service or other customers, no probing or breaking security controls. Found a vulnerability? We'd genuinely like to know - contact@davidkel.ly - and we won't pursue good-faith research conducted without harm to service or data.

9. Suspension and termination

You can stop using the services at any time; email us to close your account (cancel any active Nucleus subscriptions first, and note that closing your account ends access to licence downloads). We may suspend or terminate access for material breach of these terms, giving notice and a chance to fix things except where the breach is serious (unlawful content, abuse, non-payment after reminders).

10. Liability

Nothing in these terms excludes or limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot lawfully be limited. If you're a consumer, your statutory rights are unaffected.

Subject to that: the site, demo sites and blog are provided as-is; for paid services, our total liability in any 12-month period is capped at the greater of £100 and the fees you paid us in that period, and neither of us is liable to the other for indirect or consequential loss, or (for business customers) loss of profits, revenue, or data - which is why Nucleus takes backups, and you should too for anything irreplaceable.

11. Changes to these terms

We'll update these terms as the services evolve. The version and effective date are shown at the top. For material changes we'll give existing customers notice by email or in the portal before they take effect; continuing to use the services after that means you accept the updated terms.

12. The legal bits

These terms are governed by the law of England and Wales, and the courts of England and Wales have jurisdiction (if you're a consumer elsewhere in the UK, you can also use your local courts, and you keep any mandatory protections of your local law). If part of these terms turns out to be unenforceable, the rest stands. These terms plus any order or licence agreement are the whole agreement between us for the services they cover.
